BACKGROUND

 

Dallas Love Field Airport (the “Airport”) is currently designated as a User Fee Airport by the United States U.S. Customs and Border Protection (“CBP”). As part of the designation, CBP requires that a secure facility be provided for its operations. On September 8, 2010, the Dallas City Council authorized a contract for the construction of a CBP facility at the Airport, and subsequently, on December 8, 2010, authorized a Memorandum of Agreement (MOA) with CBP detailing its operations at the new facility.

 

On September 9, 2015, the City Council authorized two leases with The Braniff Centre, LP (“Braniff Centre”) for commercial and aviation uses at the Airport. Each of the two leaseholds included a portion of the existing CBP facility. While the CBP facility was located within Braniff Centre’s leasehold areas, all rights and obligations relating to the CBP facility were subject to the City’s Memorandum of Agreement MOA with CBP. However, CBP notified the Department of Aviation that its facilities must remain under the exclusive control of the Airport and cannot be part of another leasehold. To comply with this requirement, on October 28, 2020, the City Council authorized an amendment to each of the leases with Braniff Centre, LP to exclude the area occupied by CBP.

 

 

 

 

On October 28, 2020, the City Council also authorized a one-year lease agreement with CBP, with two one-year renewal options, for a total lease term not to extend beyond December 31, 2022. On October 14, 2022, the City Council authorized the first amendment to the CBP lease to extend the existing lease term by two additional one-year terms with a one-year renewal option. The terms of the amended lease agreement state that the term cannot extend beyond December 31, 2025. This second amendment extends the existing lease term by an additional one-year term. At the expiration of the additional one-year term, the lease will be renewed for two additional years, but not beyond December 31, 2028, unless CBP gives notice in writing of its intent not to renew.

 

Under the MOA, the City of Dallas is responsible for reimbursing CBP for all expenses related to CBP’s services. All of the utilities servicing the CBP facility are paid for by Braniff Centre since they are connected to the same meters servicing Braniff Centre’s leasehold. The City is authorized to reimburse Braniff Centre for CBP’s pro-rata share of all utilities during the term of the lease. All reimbursement costs are recovered from International Arrivals Fees collected by the Airport.

 

PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)

 

On October 28, 2020, the City Council authorized the City Manager to execute a one-year lease agreement, with two one-year renewal options, with the United States Customs and Border Protection, approved as to form by the City Attorney, for approximately 2,500 square feet of space at Dallas Love Field to support its operations at the Airport by Resolution No. 20-1679.

 

On December 14, 2022, the City Council authorized the City Manager to execute the first amendment to the existing lease agreement, approved as to form by the City Attorney, with the United States Customs and Border Protection to support its operations at Dallas Love Field, and authorized the City to reimburse The Braniff Centre, LP for United States Customs and Border Protection’s pro-rata share of utilities servicing United States Customs and Border Protection’s leasehold by Resolution No. 22-1752.
