Title
Authorize a management agreement with Red Bird Public Improvement District Inc., the non-profit corporation designated as the management entity for the RedBird Public Improvement District, to provide management services and supplemental service delivery within the RedBird Public Improvement District during its first year of operation - Red Bird Public Improvement District Inc., sole source - Not to exceed $200,000.00 - Financing: ARPA Redevelopment Fund

BACKGROUND
Chapter 372 of the Texas Local Government Code (“Act”) allows for the creation of public improvement districts (“PIDs”). The RedBird Public Improvement District (“District”) was created by the City Council on May 28, 2025 in accordance with the Act by Resolution No. 25-0872. On August 27, 2025, by Resolution No. 25-1408, the City Council designated Red Bird Public Improvement District Inc. (“RBPIDI”) as the manager of the District and authorized a management agreement with RBPIDI to be funded from special assessments on taxable property in the District.
In addition to that ongoing management agreement funded from special assessments on taxable property in the District, this agreement now before City Council is a separate and distinct agreement with RBPIDI and is proposed to be funded solely by a discretionary allocation of City Council District 3 ARPA Redevelopment Fund dollars. Unlike the management agreement authorized by City Council on August 27, 2025 (which governs the District’s long-term management beginning January 1, 2026), this management agreement now before City Council will provide one-time stand-alone support to ensure the District has the organizational capacity and resources necessary to launch operations during its first year (i.e., prior to the receipt of special assessment revenues). This management agreement does not amend, replace, or duplicate the management agreement authorized by City Council on August 27, 2025, and this management agreement creates no future fiscal year commitments.
RBPIDI shall enhance the PID’s operational and community impact during the District’s first year of operation by providing:
• Strategic planning, legal framework, accounting system/infrastructure, and other organizational development services, including engagement of professional consultants to prepare a multi-year, strategic business plan to guide the District’s operations
• Safety and security initiatives including installation of surveillance cameras across high-priority areas of the District, establishment of a centralized command center in the District, and development of an annual security plan
• Beautification and wayfinding improvements, including design and fabrication of directional signage, commissioning of community-based artwork in collaboration with local artists and stakeholders, and implementation of a five-year beautification plan with identified phases, budget projections, and maintenance protocols
• Branding, marketing and promotional efforts, specifically development of a marketing and communications plan inclusive of a district website, logo, informational materials, and stakeholder engagement collateral
• Other supplemental services and improvements that provide a public benefit and support the mission of the District
The term of the management agreement is anticipated to begin on or after December 1, 2025 and terminate on December 31, 2026.
Pursuant to Texas Local Government Code Chapter 252.022(7), this management agreement is exempt from the bidding requirements because the management services are available from only one source. Specifically, the petition establishing the District designated RBPIDI as the management entity, as authorized by Chapter 372 of the Texas Local Government Code, and City Council confirmed and authorized this designation by Resolution No. 25-1408 on August 27, 2025.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On February 28, 2024, the City Council authorized the transfer and reallocation of ARPA funds from the U.S. Department of Treasury for the Coronavirus Local Fiscal Recovery Fund to the ARPA Redevelopment multi-year fund to provide assistance with completing projects by Resolution No. 24-0315.
On May 28, 2025, the City Council authorized the creation of the RedBird Public Improvement District for a period of ten years by Resolution No. 25-0872.
On August 27, 2025, the City Council designated Red Bird Public Improvement District Inc. as the manager of the District, authorized a management agreement funded from special assessments on taxable property in the District, and approved the District’s 2026 Service Plan, by Resolution No. 25-1408.
