SUBJECT

Title

Authorize a two-year cooperative purchasing service price agreement for maintenance and repairs of pedestrian and roadway lighting for the Department of Transportation with Highway Intelligent Traffic Solutions, LLC through an interlocal agreement with the State of Texas - Estimated amount of $2,500,000.00 - Financing: General Fund

Body

BACKGROUND

This action does not encumber funds; the purpose of a service price agreement is to establish firm pricing for services for a specific term, which are ordered on an as needed basis according to annual budgetary appropriations. The estimated amount is intended as a guide rather than a cap on spending under the agreement, so that actual need combined with budget capacity will determine the amount spent under this agreement.

The City previously entered into a service price agreement with Highway Intelligent Traffic Solutions, Inc. (later converted from a corporation to a limited liability company) for these maintenance and repair services, authorized by Resolution No. 20-0821 on May 27, 2020. This proposed cooperative purchasing service price agreement will allow the City to continue using Highway Intelligent Traffic Services, LLC to supplement current resources to maintain approximately 20,000 pedestrian and roadway lights currently owned by the City, lighting owned by the Texas Department of Transportation (TxDOT) that falls under the City’s responsibility as per existing agreements, as well as any new City-owned lights.

The City maintains consolidated agreements with TxDOT for the reimbursement of costs related to the operation, maintenance, and energy consumption of TxDOT-owned lighting within the City of Dallas. On April 13, 2022, the City Council authorized consolidation of all existing agreements with TxDOT for continuous highway lighting systems within the City by Resolution Nos. 22-0549, 22-0550, and 22-0551.

The interlocal agreement with the State of Texas is authorized by the Texas Government Code Chapter 791, Texas Local Government Code Chapter 271, Subchapter F, Section 271.102 which authorizes a local government to participate in a Cooperative Purchasing Program with another government or a cooperative organization.

Method of Evaluation for Award Type:

Cooperative Purchasing Agreement

Cooperative purchasing agreements enable the City to associate with other state or local governments or with cooperative organizations to leverage market buying power and take advantage of competitively bid contracts by the government or organization and enable the City to purchase goods or services at lower prices

Cooperative purchasing agreements are an alternative method of meeting the requirements for competitive bidding or competitive sealed proposals, not an exception from that requirement
