Authorize Supplemental Agreement No. 2 to the concession contract with Concourse Communications Group, LLC, also known by the parties as Concourse Communications, LLC, for the design, development, construction, implementation, operation and maintenance, and managing of Wi-Fi Network Service and Distributed Antenna System at Dallas Love Field to (1) extend the term from April 15, 2025 to October 15, 2026; and (2) correct the scrivener’s error in the legal name of the concessionaire - Minimum Revenue Guaranteed: Aviation Fund $337,500.00

BACKGROUND
The Wi-Fi System and Distributed Antenna System both provide reliable cellular service, data and radio communications to support the traveling public, airline and airline tenants, airport operations and the Dallas Police Department.
This Supplemental Agreement No. 2 will allow the Department of Aviation to continue utilizing Wi-Fi Network Services and Distributed Antenna Systems. These systems will ensure reliable coverage throughout airport facilities, including the airport terminal, parking garages, maintenance areas and other operational spaces where service may be limited until negotiations have been completed and new agreement is in place.
This Supplemental Agreement No. 2 will also allow the parties to correct a scrivener’s error in the legal name of the concessionaire, which in the original contract and Supplemental Agreement No. 1 was incorrectly stated as “Concourse Communications, LLC,” whereas the correct legal name of the concessionaire is “Concourse Communications Group, LLC.” The intended party to the contract, Concourse Communications Group, LLC, is a Delaware limited liability company that has been in existence since August 5, 1999, and has been registered with the Texas Secretary of State since December 30, 2000.
PRIOR ACTION/REVIEW (COUNCIL, BOARDS, COMMISSIONS)
On August 22, 2012, the City Council authorized a concession contract, the Wi-Fi Network and Distributed Antenna System Contract (Dallas Love Field), with Concourse Communications, LLC for the design, development, construction, implementation, operation, and maintenance of an equal access, multi-service, carrier, neutral hosted distributed antenna system and a multi-user Wi-Fi system network covering all designated areas of Dallas Love Field-by Resolution No. 12-2075.
On August 22, 2018, the City Council authorized Supplemental Agreement No. 1 to the Wi-Fi Network and Distributed Antenna System Contract (Dallas Love Field) with Concourse Communications, LLC, to reduce the current revenue share, reduce the Minimum Annual Guarantee, and convert the Airport Wi-Fi system from paid to free by Resolution No. 18-1128.
