BACKGROUND

On January 10, 2018, the City Council passed a resolution authorizing the City Manager to negotiate and enter into a Host City Agreement with the Federation de Internationale de Football Association (FIFA) to serve as a host city for FIFA World Cup 2026.

In October 2024, the City of Dallas, serving as the Host City Authority, entered into a Joinder agreement with the North Texas FWC Organizing Committee (the Hosting SPV), in order for the Hosting SPV to exercise the rights granted in the Rights Package Agreement, including collecting and using all revenues associated therewith, and allowing the Hosting SPV to perform the obligations of the Host City Authority under the Host City Agreement.

During discussions between the City of Dallas and the North Texas FWC Organizing Committee, it was agreed that the two entities would negotiate and enter into a separate agreement, which would further clarify some of the roles and responsibilities with respect to fulfillment of obligations under the Host City Agreement. These include establishing designated representatives; clarifying coordination efforts; creating indemnity clauses; establishing protocols for maintaining records and the pursuit and use of funds, including the State's Major Events Reimbursement Program;...
